What counts as a dormant company?
A company is dormant for Companies House purposes if it has had no significant accounting transactions during the financial year. Transactions that do not count include filing fees paid to Companies House and shares issued on incorporation. If the only activity is paying the confirmation statement fee, the company remains dormant.
Does a dormant company need to file accounts?
Yes. A dormant company must file annual accounts with Companies House even though it is not trading. The accounts can be filed in a simplified format that shows the company had no significant transactions. Late filing triggers the same penalties as for a trading company.
Does a dormant company need a confirmation statement?
Yes. A dormant company must file a confirmation statement at least once every 12 months, just like a trading company. The digital filing fee is 50 pounds from February 2026. Failure to file can lead to strike-off proceedings by Companies House.
Do I need to tell HMRC my company is dormant?
Yes. You should notify HMRC that your company is dormant so they do not expect corporation tax returns. If your company was previously trading, you must file a final corporation tax return for the last active period before telling HMRC the company is now dormant.
Can I reactivate a dormant company?
