What are articles of association?

Articles of association are the written rules that govern how your company is run. They cover shareholder rights, director powers, voting procedures, dividend policies, share transfer rules, and how decisions are made. Every UK company registered with Companies House must have articles in place. 

Model articles are the standard set of articles prescribed by the Companies Act 2006. If you do not adopt your own articles at incorporation, your company automatically adopts the model articles. They work well for simple structures but may not cover everything a growing or multi-shareholder company needs. 

Bespoke articles are recommended when you have multiple shareholders, want to restrict share transfers, need to define different share classes with different rights, or want to set specific rules for director appointment, removal, or decision making. ABM Chartered Accountants advises when bespoke provisions are worthwhile. 

You amend your articles by passing a special resolution, which requires approval from at least 75 percent of shareholders by number of votes. The amended articles must then be filed with Companies House within 15 days of the resolution being passed. ABM Chartered Accountants handles the entire process. 

Yes. Your articles must be filed with Companies House at incorporation. If you later amend them, the amended version must also be filed within 15 days. Companies House makes your articles publicly available. ABM Chartered Accountants files the original or amended articles on your behalf.
