How do I appoint a new director?

The board passes a resolution to appoint the director, and Companies House must be notified within 14 days using form AP01. The new director’s full name, date of birth, nationality, occupation, residential address, and service address must be provided. ABM Chartered Accountants prepares and files everything. 

A director resigns by giving notice to the company, usually in writing. The company must then file form TM01 with Companies House within 14 days of the resignation date. ABM Chartered Accountants files the notification and updates your register of directors at the same time. 

From November 2025, all new directors must verify their identity with Companies House before or at the time of their appointment. This is done via GOV.UK One Login or through an Authorised Corporate Service Provider. Existing directors have until November 2026 to verify. 

Companies House requires notification of director changes within 14 days. While there is currently no automatic financial penalty for late filing of director changes, persistent failure to keep records accurate can contribute to enforcement action or strike-off proceedings against your company. 

They can. If a new director holds more than 25 percent of shares or voting rights, or has the right to appoint or remove the majority of directors, they may also qualify as a person with significant control. ABM Chartered Accountants checks and updates your PSC register accordingly.
