What are company secretarial services?

Company secretarial services cover the statutory filings and administrative obligations that every UK company must meet under the Companies Act 2006. This includes filing your confirmation statement, notifying Companies House of director and shareholder changes, maintaining statutory registers, and managing your PSC register. 

A confirmation statement is an annual filing that confirms your company’s details at Companies House are accurate and up to date. It must be filed at least once every 12 months. The digital filing fee is 50 pounds from February 2026. Late filing can lead to your company being struck off the register. 

Late filings result in penalties and a non-compliance flag on your public record. For confirmation statements, persistent failure to file can lead to strike-off proceedings. For annual accounts, late filing penalties range from 150 to 1,500 pounds depending on how late they are. 

The PSC register records the persons with significant control over your company. A PSC is anyone who holds more than 25 percent of shares or voting rights, has the right to appoint or remove directors, or otherwise exercises significant influence. This register must be filed with Companies House and kept current. 

Yes. From November 2025, all new directors and PSCs must verify their identity with Companies House. Existing directors have until November 2026 to comply during the transitional period.
